1. Introduction

Welcome to Zulu, a business management software designed to enhance business operations through effective data management. This document outlines the terms of use governing your access to and use of Zulu's services.

2. Account Registration and Usage

  • Account Registration: To use Zulu, you must create an account by providing accurate and complete information.
  • Account Security: You are responsible for maintaining the confidentiality of your account and password and for all activities that occur under your account. Regularly updating your password is highly recommended and using 2-factor authentication.

3. Service Availability and Limitations

  • Service Functionality: While we strive to provide a reliable and efficient service, we do not guarantee that our service will be uninterrupted or error-free. The functionality and accuracy of Zulu's services are subject to limitations.
  • Liability Disclaimer: Zulu will not be liable for any loss of income, damages, or costs incurred as a result of using our software directly or indirectly. This includes to you, your users and/or stakeholders.

4. Billing and Subscription

  • Billing Terms:
    • Use of Zulu services is subject to the payment of applicable fees as set out in your subscription terms
    • All subscriptions are billed in the currency under which the user registered their account. For accounts registered in New Zealand, billing is in New Zealand Dollars (NZD) and exclusive of GST for entities registered within New Zealand. For accounts registered outside New Zealand, applicable taxes, including VAT or other local taxes, may be charged based on your location and local tax regulations
    • By using Zulu, you agree to complete payment for your subscription and any other associated services through Stripe.com payment provider. You can view Stripes terms of use and privacy policies on their website
  • Inactive Subscriptions:
    • Accounts with inactive billing subscriptions may have their data deleted if the account has been inactive for more than 90 days
    • We retain the right to collect payment on any outstanding subscription payments owed to Zulu, even if the account is inactive
  • Refund Policy:
    • New users that sign up and enter into a paid subscription reserve the right to a full refund up to 30 calendar days from the initial start of the accout (including a trial, if any). Refunds will not be given to users whose accounts are older than this period
  • Pricing Increase Policy:
    • Zulu reserves the right to modify its subscription pricing, fees, or billing structure at any time. Any price increase will be communicated to users with a minimum notice period ofno less than one (1) calendar month before their next renewal date. Notice will be provided via email, platform notifications, or other appropriate communication channels.
    • By continuing to use Zulu after the notice period, the user agrees to the updated pricing. If the user does not agree to the new pricing, they have the right to cancel their subscription before the next renewal date, subject to Zulu’s standard cancellation terms.
  • Cancellation Policy:
    • Users may cancel their subscription at anytime without reason by cancelling their account through the Zulu Billing Page. This will give the user continued access to their account until the next billing cycle is reached, at which point the account will be made inactive and the user can no longer access the account
    • After the cancellation date, users will lose access to both their account and data stored within Zulu. Zulu reserves the right to delete any and all data after the cancellation date has lapsed. It is the user's responsibility to request data removal earlier if required
    • Data Access and Export Upon Cancellation:
      • When a subscription is cancelled, users will maintain access to their data until the cancellation date lapses. After this date, users will lose access to both their account and data stored within Zulu. If users require data extraction beyond what is accessible through Zulu’s built-in copy-and-paste or export features, a request can be made to Zulu. Data exports requiring additional support will be performed at Zulu's standard hourly rate of $200 NZD per hour, plus tax
  • Onboarding:
    • If the account holder requests onboarding, initial onboarding fees must be paid in advance of onboarding commencing
    • If no onboarding is requested, any technical support will be billed at a standard hourly rate of $150 NZD per hour, plus tax

5. User Conduct and Responsibilities

  • User Behavior: Users are expected to use Zulu services responsibly and in compliance with all applicable laws and regulations
  • Prohibited Activities: Activities such as unauthorised access, distribution of harmful or illegal content, and any form of harassment are strictly prohibited
  • You agree you have appropriate written permission to store data in Zulu that maybe sensitive or property of other entities

6. Limitation of Liability

Zulu shall not be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the services.

7. Customisations & Enhancements

Any customisations, modifications, or enhancements made to the Zulu platform, whether developed specifically for a user’s account or as part of broader system improvements, remain the sole property of Zulu.

  • User-Specific Customisations: Custom features, workflows, or integrations developed specifically for an individual user's account are fully integrated into Zulu’s infrastructure. These cannot be transferred, removed, or migrated to another platform if the user chooses to close their account.
  • System Enhancements: Any suggestions, feedback, or requests from users that lead to general improvements, new features, or additional functionality within Zulu are considered contributions to the platform. Zulu retains full ownership of such enhancements, and they may be made available to all users at its discretion. No royalties, fees, credits are given for these contributions.

By using Zulu’s customisation services or providing feedback that results in system improvements, the user acknowledges and agrees that all intellectual property rights associated with such developments belong exclusively to Zulu.

No refunds, credits, or compensation will be provided to users who have received customisations if they choose to leave Zulu, whether voluntarily, as a result of being banned, or due to disagreement with Zulu’s Terms of Trade.

8. Amendments to Terms

We reserve the right to modify these terms at any time. We will provide notice of any changes by updating the “Last Updated” date of these terms and by posting the amended terms on the Zulu website.

9. Governing Law

These terms shall be governed by and construed in accordance with the laws of New Zealand, without regard to its conflict of law provisions.
